1.1 By accessing or using the Genie 3 website, products, and services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1.2 These Terms constitute the entire agreement between you and us regarding the Service. You may also be subject to our Privacy Policy, Cookie Policy, and other posted policies.
1.3 If you use the Service on behalf of an entity, you represent and warrant that you are authorized to bind that entity and that the entity accepts these Terms.
2.1 “User Content” means any text, images, audio/video, prompts, instructions, feedback, or other materials you submit, upload, or otherwise provide via the Service.
2.2 “Personal Data” means any information relating to an identified or identifiable natural person, consistent with applicable data protection laws (e.g., GDPR).
2.3 “Processing” means any operation performed on Personal Data, such as collection, storage, use, disclosure, and deletion.
3.1 Eligibility: You must have the legal capacity required by applicable law. If you are a minor, you may only use the Service with consent and supervision of a legal guardian.
3.2 Registration: You must provide accurate, current, and complete information and keep it updated.
3.3 Security: You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us promptly of any unauthorized use.
3.4 Deactivation/Deletion: You may deactivate or request deletion via account settings or by contacting us. We will process within a reasonable period and will delete or anonymize data where legally permissible (see Section 8).
4.1 You agree to use the Service in a lawful and compliant manner. You shall not:
4.1.1 Infringe any third-party rights (including privacy, publicity, or intellectual property).
4.1.2 Upload, generate, or distribute unlawful, harmful, abusive, hateful, discriminatory, or malicious content (including malware).
4.1.3 Reverse engineer, scrape non-public endpoints, bypass access controls, or engage in unauthorized automated access.
4.1.4 Interfere with or disrupt any networks, servers, or security measures.
4.1.5 Use the Service for unlawful or non-compliant purposes under applicable law or regulation.
4.2 We may limit, suspend, or terminate your access for violations of these Terms or applicable policies and may pursue available remedies.
5.1 The Service, including software, features, interfaces, and content, is owned by us or our licensors and protected by copyright, trademark, trade secret, and other laws.
5.2 Subject to your compliance with these Terms, we grant you a revocable, non-transferable, non-exclusive, non-sublicensable, limited license to access and use the Service for lawful purposes.
5.3 User Content: Except as otherwise agreed in writing, you retain rights in your User Content. You grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, display, distribute, and create derivative works from your User Content as necessary to operate, maintain, improve, and ensure legal compliance of the Service.
5.4 Feedback: You grant us a perpetual, irrevocable, worldwide, royalty-free right to use feedback without obligation.
6.1 The Service may integrate with or link to third-party services that are governed by their own terms and privacy policies.
6.2 We are not responsible for third-party content, functionality, security, or availability.
7.1 We may modify, suspend, or discontinue the Service (or any part) for maintenance, upgrades, or compliance. We will use reasonable efforts to minimize impact.
7.2 We are not liable for unavailability, data loss, or damages caused by force majeure or factors beyond our reasonable control.
8.1 Data Types: We may process account details, usage logs, device data, geolocation (where applicable), cookie/SDK identifiers, contact information, content and related metadata, and support correspondence.
8.2 Purposes and Legal Bases (GDPR Art. 6): Account setup and contract performance (Art. 6(1)(b)); security and fraud prevention (legitimate interests, Art. 6(1)(f)); improvements and analytics (legitimate interests/consent, Art. 6(1)(f)/(a)); legal obligations (Art. 6(1)(c)). Where consent is used, you may withdraw it at any time without affecting prior lawful processing.
8.3 Data Subject Rights: You may request access, rectification, erasure (right to be forgotten), restriction, portability, and objection; if processing is based on consent, you may withdraw consent. Exercise via account settings or privacy@genie3.world. We will respond within statutory timeframes.
8.4 Export/Deletion: You may request data export or deletion via your account or by contacting us. We will process within a reasonable period, verifying identity as needed.
8.5 Retention: We retain data for the minimum period necessary to fulfill purposes; we may extend retention where required to comply with legal obligations, resolve disputes, or enforce agreements.
8.6 International Transfers: Where data is transferred internationally, we will implement appropriate safeguards under applicable law (e.g., EU SCCs).
8.7 Security: We apply reasonable technical and organizational measures to protect Personal Data, but no method is 100% secure.

8.9 Supervisory Authority: You may lodge a complaint with a competent data protection authority if you believe processing violates applicable law.
9.1 Disclaimer: The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9.2 Limitation: To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, punitive, or consequential damages; our aggregate liability for direct damages is limited to the fees you paid for the Service in the twelve (12) months preceding the event giving rise to liability (or USD $0 for free services).
9.3 Consumer Protection: If you are a consumer, mandatory statutory protections prevail where applicable.
10.1 You agree to indemnify and hold us and our affiliates, officers, employees, and partners harmless from claims, losses, costs, and liabilities arising from your breach of these Terms, applicable law, or third-party rights, to the extent permitted by law.
11.1 The Service is not directed to children under 13 (or the equivalent age in your jurisdiction). If we learn that we collected Personal Data from a child without verifiable parental consent, we will take reasonable steps to delete it.
12.1 We may update these Terms from time to time. For material changes, we will provide reasonable notice via in-product messages, email, or on-page notices, typically at least thirty (30) days in advance unless otherwise required by law.
12.2 Your continued use after the effective date of an update constitutes acceptance of the updated Terms.
13.1 Governing Law: These Terms are governed by the laws of the State of California, USA, without regard to conflict of law rules. Mandatory consumer protections in your jurisdiction prevail where applicable.
13.2 Disputes: Disputes arising out of or relating to these Terms or the Service will first be attempted to be resolved amicably. Failing that, disputes may be brought in a court of competent jurisdiction in your or our place of residence/establishment, or via an agreed arbitration body, where applicable law affords such rights.
14.1 If any provision is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
14.2 These Terms constitute the entire agreement regarding the Service and supersede prior or contemporaneous communications concerning the same subject matter.
